Welcome to RoboVAI ("we", "us", "our"). By accessing or using our AI API gateway, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
1. Description of Service
RoboVAI is a subscription-based AI API conversion platform. We provide a unified API gateway that aggregates access to multiple AI model providers—including Anthropic, OpenAI, Google Gemini, xAI Grok, DeepSeek, Doubao, Zhipu, Moonshot, MiniMax, Qwen, and others—through a single interface. The Service converts subscription-based access into pay-per-token API usage, with an intelligent auto-routing system that matches requests to optimal models based on performance and speed.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements. The Service is not available to persons in jurisdictions where its use would be unlawful.
3. Accounts and API Keys
- You must register an account to use the Service. You are responsible for safeguarding your account credentials and API keys.
- Each API key is bound to your account. You must not share, resell, or redistribute API keys to third parties.
- You are solely responsible for all activity conducted under your account and API keys. Notify us immediately of any unauthorized access.
- We are not liable for losses resulting from compromised credentials.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws
- Attempt to disrupt, reverse engineer, or overload the Service infrastructure
- Resell or redistribute API access without written authorization
- Use the Service to generate illegal, harmful, threatening, abusive, or defamatory content
- Circumvent rate limits, billing, access controls, or geographic restrictions
- Use automated means to scrape, mine, or extract data from the Service beyond normal API usage
- Impersonate any person or entity, or falsely represent your affiliation
5. Upstream Provider Terms
The Service forwards your API requests to third-party AI providers. Each provider maintains its own terms of service, acceptable use policies, and usage restrictions. You are solely responsible for ensuring your use complies with those providers' terms. We are not responsible for:
- Account bans or restrictions imposed by upstream providers
- Service interruptions caused by upstream provider outages or policy changes
- Data handling practices of upstream providers
- Content moderation decisions made by upstream providers
6. Subscription Plans and Billing
- The Service offers subscription plans with included token quotas at discounted rates, as well as pay-per-token usage through account balance.
- Plan details, pricing, and token allocations are listed on the Pricing page and may be updated with reasonable notice.
- Payments are processed by third-party payment providers under their own terms and conditions.
- Unused tokens in subscription plans expire at the end of each billing cycle and do not roll over unless explicitly stated.
- Account balance has no expiration but is non-refundable except as required by applicable law.
7. Usage Metering and Quotas
- Usage is measured in tokens as defined by each AI model provider's specification.
- Rate limits, concurrency limits, and model availability may vary by plan and are subject to change.
- We reserve the right to throttle or suspend accounts that exceed fair use thresholds or exhibit abusive consumption patterns.
8. Intellectual Property
- We retain all rights to the Service, including the platform, gateway software, and branding.
- You retain all rights to your input content and the AI-generated output you receive.
- By submitting content through the API, you grant us a limited license to process it solely for the purpose of providing the Service (i.e., forwarding it to the selected AI model provider and returning the response).
9. Service Availability
- We strive to maintain high availability but do not guarantee uninterrupted access. The Service may experience downtime for maintenance, upstream provider issues, or circumstances beyond our control.
- Model availability depends on upstream provider status and may change without notice.
10. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- AI model outputs will be accurate, reliable, or complete
- Any errors in the Service will be corrected
AI-generated content may be inaccurate, biased, or incomplete. You should independently verify any AI output before relying on it.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities arising from your use of the Service. Our total cumulative liability shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Termination
- You may terminate your account at any time by discontinuing use and requesting account deletion.
- We may suspend or terminate your access at any time, with or without cause, including for violation of these Terms.
- Upon termination, your right to use the Service ceases immediately. Unused balance or subscription tokens may be forfeited as described in Section 6.
13. Changes to These Terms
We may update these Terms periodically. We will notify you of material changes via email or in-app notice at least 7 days before they take effect. Continued use after changes become effective constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which RoboVAI is registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction.
